Manoj,

When I have done this in the past, I have used ArcGIS 9x, ArcInfo
Desktop, ArcMap to convert my shapefile points as labels to feature
class annotation. I then use ArcCatalog to export to a DWG (I get an
'endless loop' error on export to DGN), then open the DWG with
Microstation and save as a DGN.

I hope this helps.
